NAO COWORKING

These Terms & Conditions (“Terms”) govern the use of the coworking space operated under the brand NAO Coworking, a brand operated by Somave SL, with registered address at Av. de Francesc Cambó, 21, 08003 Barcelona, Spain, (“NAO”, “we”, “us”).
By purchasing a membership, day pass, or otherwise accessing the space, the member (“Member”, “you”) agrees to be bound by these Terms.
1. Nature of the Service
1.1 NAO Coworking provides shared workspace services only.
1.2 No tenancy, lease, or exclusive possession is created.
1.3 The agreement constitutes a service contract, not a rental agreement under Spanish tenancy law.
2. Membership Types & Pricing
The following services are offered (prices excluding VAT):
12-Day Flex Membership – €159 / month
Full-Time Flex Membership – €179 / month
Fixed Desk Membership – €229 / month
Day Pass – €19 / day
Memberships may be contracted by individuals or legal entities.
NAO reserves the right to amend pricing with at least 30 days’ prior notice.
3. Access & Opening Hours
3.1 Members have 24/7 access, subject to compliance with these Terms.
3.2 Access is provided via smart lock / digital access system and is strictly personal.
3.3 Access credentials may not be shared.
3.4 NAO may temporarily suspend access for:
Non-payment
Breach of these Terms
Security or maintenance reasons
4. Use of the Space
4.1 NAO is a calm, professional, and call-friendly workspace.
4.2 Phone and video calls are permitted, provided volume remains reasonable and does not disturb others.
4.3 Excessive noise, disruptive behaviour, or repeated complaints are not permitted.
4.4 Guests are not permitted, unless they hold a valid day pass or have explicit written approval.
5. House Rules
5.1 Food is permitted at desks.
5.2 Alcohol is permitted during approved social moments (e.g. Friday drinks), provided behaviour remains professional.
5.3 Pets are not permitted, unless expressly approved by NAO in advance.
5.4 Smoking and vaping are strictly prohibited anywhere inside the space.
NAO reserves the right to deny access or terminate memberships for repeated or serious breaches.
6. Internet & IT Usage
6.1 High-speed internet is provided on a best-effort basis.
6.2 No uptime, speed, or uninterrupted service is guaranteed.
6.3 The following are strictly prohibited:
Illegal downloads or activities
Server hosting
Crypto mining
Any activity that disrupts the network
6.4 NAO may temporarily restrict or suspend internet access in case of misuse.
7. Payments & Billing
7.1 Memberships are billed monthly in advance.
7.2 Payment methods:
Credit / debit card
SEPA direct debit
7.3 All prices are subject to Spanish VAT where applicable.
7.4 Failure to pay may result in suspension of access.
8. Cancellation Policy
8.1 Memberships may be cancelled at any time with effect at the end of the current calendar month.
8.2 Cancellations must be submitted in writing (email or platform).
8.3 No refunds are issued once a billing period has started.
8.4 Day passes are non-refundable.
9. Liability & Insurance
9.1 Members use the space entirely at their own risk.
9.2 NAO is not liable for:
Theft, loss, or damage to personal belongings
Damage to laptops, devices, or equipment
Business losses or data loss
9.3 Members are responsible for their own insurance coverage if desired.
10. Behaviour & Termination
10.1 NAO may deny access or terminate memberships immediately in case of:
Serious misconduct
Illegal activities
Repeated breaches of these Terms
Non-payment
10.2 No refunds apply in cases of termination for breach.
11. Data Protection & CCTV
11.1 NAO processes personal data in accordance with GDPR and Spanish data protection law.
11.2 NAO may store:
Company documents
Access logs
11.3 CCTV is in operation in common areas for security purposes.
11.4 NAO may request identification if legally required (e.g. by authorities or in case of misuse).
12. Force Majeure
NAO is not liable for failure to perform services due to events beyond reasonable control, including but not limited to power outages, network failures, or government restrictions.
13. Governing Law & Dispute Resolution
13.1 These Terms are governed by Spanish law.
13.2 The parties agree to attempt mediation before initiating legal proceedings.
13.3 If unresolved, disputes shall fall under the exclusive jurisdiction of the courts of Barcelona, Spain.
14. Amendments
NAO reserves the right to update these Terms with reasonable notice. Continued use of the space constitutes acceptance of updated Terms.
